Purpose and scope” tab_id=”1786457990805-01bfebaa-2833″][vc_column_text]These General Terms and Conditions of Sale govern the supply of goods and provision of services by DECOR PITA \u2013 MATERIAIS DE CONSTRU\u00c7\u00c3O, S.A.<\/strong>, hereinafter referred to as \u201cDecorpita<\/strong>\u201d.<\/p>\n

These Terms apply, in particular, to:<\/p>\n

a) The sale of building materials, wall and floor coverings, sanitary equipment, furniture, kitchens, worktops, household appliances, equipment and accessories;<\/p>\n

b) Design and project development services;<\/p>\n

c) Site measurement, technical drawing, planning, transport, delivery, installation and assembly services;<\/p>\n

d) Orders placed at showrooms, at Decorpita\u2019s premises, by email or through other commercial channels;<\/p>\n

e) Transactions with private customers and business customers, subject to the provisions specifically applicable to each category.<\/p>\n

 <\/p>\n

These Terms do not exclusively regulate use of the Website, which is governed by the Website Terms of Use<\/a><\/strong>.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”2. 3.1. 3.1. Customer<\/strong><\/p>\n

Any natural or legal person requesting a quotation, placing an order or purchasing goods or services from Decorpita.<\/p>\n

 <\/p>\n

3.2. 3.2. Consumer<\/strong><\/p>\n

A natural person acting for purposes that are not predominantly related to that person\u2019s trade, business, craft or profession.<\/p>\n

 <\/p>\n

3.3. 3.3. Business Customer<\/strong><\/p>\n

Any natural or legal person acting in the course of a commercial, industrial, craft, liberal or professional activity, including companies, resellers, contractors, property developers, architects, designers, installers and other economic operators.<\/p>\n

 <\/p>\n

3.4. 3.4. Quotation<\/strong><\/p>\n

A commercial document issued by Decorpita specifying the goods, services, quantities, prices, payment terms, estimated lead times and other applicable conditions.<\/p>\n

 <\/p>\n

3.5. 3.5. Order<\/strong><\/p>\n

The purchase of goods or services arising from acceptance of a Quotation and confirmation by Decorpita, together with payment of any agreed initial amount, where applicable.<\/p>\n

 <\/p>\n

3.6. 3.6. Project<\/strong><\/p>\n

The measurements, drawings, plans, specifications, materials, equipment, solutions and other documentation prepared for a particular supply or installation.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”4. Application and order of precedence” tab_id=”1786459743191-aa6d59b0-1510″][vc_column_text]These Terms apply to contracts entered into by Decorpita unless expressly excluded or amended in writing.<\/p>\n

In the event of inconsistency, the following order of precedence applies:<\/p>\n

a) The specifically negotiated contract;<\/p>\n

b) The order confirmation;<\/p>\n

c) The accepted Quotation;<\/p>\n

d) Any special conditions communicated to the Customer;<\/p>\n

e) These General Terms and Conditions of Sale.<\/p>\n

 <\/p>\n

Individually negotiated terms prevail over general terms.<\/p>\n

Mandatory law, including mandatory consumer protection legislation, will always prevail over any incompatible provision of these Terms.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”5. Pre-contractual information” tab_id=”1786459745441-7d5e9784-7ee4″][vc_column_text]Before being bound by a contract, the Customer should receive appropriate information regarding:<\/p>\n

a) The essential characteristics of the goods or services;<\/p>\n

b) Quantities;<\/p>\n

c) Prices and applicable taxes;<\/p>\n

d) Foreseeable additional charges;<\/p>\n

e) Payment terms;<\/p>\n

f) Delivery and installation conditions;<\/p>\n

g) Estimated lead times;<\/p>\n

h) Applicable warranties;<\/p>\n

i) The principal responsibilities of the parties;<\/p>\n

j) Any specific conditions applicable to the Order.<\/p>\n

 <\/p>\n

For distance and off-premises contracts, the legally required pre-contractual information will be provided.<\/p>\n

The Customer must carefully review the Quotation, drawings, quantities, materials, finishes and contractual conditions before acceptance.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”6. Quotations” tab_id=”1786459833364-d58fa9a3-9b15″][vc_column_text]Quotations issued by Decorpita:<\/p>\n

a) Remain valid for the period stated in the relevant document;<\/p>\n

b) Apply exclusively to the goods, quantities, services and conditions described therein;<\/p>\n

c) May be revised after expiry;<\/p>\n

d) May be subject to confirmation of prices, availability and lead times by manufacturers or suppliers;<\/p>\n

e) Do not constitute a definitive stock reservation until the Order has been confirmed;<\/p>\n

f) Do not include work, equipment or services that are not expressly identified.<\/p>\n

 <\/p>\n

Unless otherwise stated, Quotations do not include building works, water, gas or electrical installations, painting, wall repairs, waste removal, cranes, lifting platforms, permits, traffic management or other special equipment.<\/p>\n

Manifest clerical or calculation errors may be corrected before final Order confirmation, subject to notification to the Customer.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”7. Contract formation” tab_id=”1786459879252-8e40ffbc-214d”][vc_column_text]The issue of a Quotation does not, in itself, constitute a binding contract.<\/p>\n

An Order is deemed confirmed when:<\/p>\n

a) The Customer accepts the Quotation through the stated channel;<\/p>\n

b) Decorpita receives any agreed initial payment or security;<\/p>\n

c) The required designs, drawings and measurements have been approved;<\/p>\n

d) Decorpita confirms acceptance of the Order.<\/p>\n

 <\/p>\n

Decorpita may require acceptance by signature, email, digital platform or another durable and evidential form.<\/p>\n

A partial or conditional acceptance, or an acceptance containing amendments, constitutes a counter-offer and is subject to Decorpita\u2019s express confirmation.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”8. Designs, drawings and measurements” tab_id=”1786459916505-adfc4d8f-514c”][vc_column_text]Where the supply includes design, technical drawing, planning or measurement services, the Customer must provide all required information.<\/p>\n

Projects may be based on:<\/p>\n

a) Measurements supplied by the Customer;<\/p>\n

b) Plans or drawings supplied by third parties;<\/p>\n

c) Measurements taken by Decorpita;<\/p>\n

d) Documentation supplied by architects, designers, contractors or other professionals.<\/p>\n

 <\/p>\n

Decorpita will not be liable for errors arising exclusively from incorrect information, measurements, plans or instructions provided by the Customer or a third party appointed by the Customer, unless such errors should reasonably have been identified within the scope of the contracted service.<\/p>\n

Where measurement by Decorpita is not included, the Customer is responsible for the accuracy of the measurements supplied.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”9. Final measurements and production drawings” tab_id=”1786459947672-d1906904-fd8b”][vc_column_text]Where contractually included, production design services may comprise:<\/p>\n

a) Verification or correction of measurements;<\/p>\n

b) Definition of the layout;<\/p>\n

c) Identification of required water, drainage, gas and electrical connection points;<\/p>\n

d) Preparation of production drawings;<\/p>\n

e) Identification of selected equipment and materials.<\/p>\n

 <\/p>\n

Technical connection-point information is intended to assist with site preparation and does not replace specialist engineering designs, work by certified technicians or verification of applicable statutory and technical requirements.<\/p>\n

The Customer is responsible for ensuring that all technical infrastructure is installed by suitably qualified professionals.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”10. Project approval” tab_id=”1788175773523-9a1ec936-aa6d”][vc_column_text]Production or ordering of customised items will only commence after the Customer has approved, where applicable:<\/em><\/p>\n

    \n
  1. a) Final measurements;<\/em><\/li>\n
  2. b) Layout and configuration;<\/em><\/li>\n
  3. c) Drawings;<\/em><\/li>\n
  4. d) Product references;<\/em><\/li>\n
  5. e) Materials;<\/em><\/li>\n
  6. f) Colours and finishes;<\/em><\/li>\n
  7. g) Equipment;<\/em><\/li>\n
  8. h) Accessories;<\/em><\/li>\n
  9. i) Relevant technical conditions.<\/em><\/li>\n<\/ol>\n

    Approval must be provided in writing or through another form capable of being evidenced.<\/em><\/p>\n

    Following approval, Customer-requested amendments may:<\/em><\/p>\n

      \n
    1. a) No longer be technically possible;<\/em><\/li>\n
    2. b) Require a revised Quotation;<\/em><\/li>\n
    3. c) Give rise to amendment or replacement costs;<\/em><\/li>\n
    4. d) Result in revised production and delivery lead times;<\/em><\/li>\n
    5. e) Result in the loss of all or part of the work or materials already produced or ordered.<\/em><\/li>\n<\/ol>\n

      [\/vc_column_text][\/vc_tta_section][vc_tta_section title=”11. Samples, images, colours and natural materials” tab_id=”1786459980749-ade0ddb4-f2f4″][vc_column_text]Photographs, digital images, simulations, room settings and three-dimensional representations are illustrative.<\/p>\n

      On-screen presentation may not reproduce with absolute accuracy:<\/p>\n

      a) Colours;<\/p>\n

      b) Shades;<\/p>\n

      c) Textures;<\/p>\n

      d) Gloss levels;<\/p>\n

      e) Veining;<\/p>\n

      f) Patterns;<\/p>\n

      g) Finishes.<\/p>\n

       <\/p>\n

      Natural materials and products inspired by natural materials, including wood, stone, marble, ceramic and composite surfaces, may display variations in shade, veining, pattern, texture, porosity or dimensions.<\/p>\n

      Such variations may be normal characteristics of the material and do not, in themselves, constitute a lack of conformity.<\/p>\n

      Where relevant, selection should be confirmed using physical samples and technical documentation.<\/p>\n

      Goods must nevertheless correspond to the contractual description, sample or model and the characteristics specifically agreed.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”12. Prices and taxes” tab_id=”1786460115034-213c57b6-d65e”][vc_column_text]The applicable prices are those stated in the Quotation or order confirmation.<\/p>\n

      Quotations addressed to Consumers will state the applicable taxes or clearly identify the total price payable.<\/p>\n

      Quotations addressed to Business Customers may state prices exclusive of VAT, provided that this is clearly indicated.<\/p>\n

      Unless otherwise stated, prices do not include:<\/p>\n

      a) Undescribed work;<\/p>\n

      b) Subsequent amendments;<\/p>\n

      c) Special access equipment;<\/p>\n

      d) Cranes, lifting platforms or hoisting equipment;<\/p>\n

      e) Administrative or police permits;<\/p>\n

      f) Reserved parking;<\/p>\n

      g) Building works;<\/p>\n

      h) Storage resulting from Customer delay;<\/p>\n

      i) Additional visits;<\/p>\n

      j) Other costs arising from undisclosed conditions.<\/p>\n

      [\/vc_column_text][\/vc_tta_section][vc_tta_section title=”13. Payment terms” tab_id=”1786460156812-8bd87f94-8119″][vc_column_text]Payment conditions and due dates are stated in the Quotation or order confirmation.<\/p>\n

      Decorpita may require:<\/p>\n

      a) An initial payment on acceptance;<\/p>\n

      b) Interim payments linked to project or supply stages;<\/p>\n

      c) Payment of the balance before delivery;<\/p>\n

      d) Payment of the balance before or at the start of installation;<\/p>\n

      e) Appropriate payment security, particularly in business transactions.<\/p>\n

       <\/p>\n

      Unless expressly stated otherwise, sums paid before completion will be treated as advance payments on account of the price.<\/p>\n

      Payment is only deemed completed when the relevant funds have been made available to Decorpita.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”14. Late or non-payment” tab_id=”1786460195423-6850bb4b-1040″][vc_column_text]In the event of late or non-payment, Decorpita may, following notice to the Customer and subject to applicable law:<\/p>\n

      a) Suspend production;<\/p>\n

      b) Suspend further Orders;<\/p>\n

      c) Postpone delivery or installation;<\/p>\n

      d) Retain goods that have not yet been delivered;<\/p>\n

      e) Charge legally applicable interest and recovery costs;<\/p>\n

      f) Terminate the contract where the applicable conditions are met;<\/p>\n

      g) Claim compensation for proven loss.<\/p>\n

       <\/p>\n

      Any suspension caused by Customer default may result in revised lead times.<\/p>\n

      In Consumer contracts, such measures will be exercised proportionately and without prejudice to mandatory Consumer rights.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”15. Retention of title” tab_id=”1786460233122-3b52745b-5268″][vc_column_text]Without prejudice to the applicable transfer-of-risk rules, the supplied goods remain the property of Decorpita until the relevant price and all contractually due amounts have been paid in full.<\/p>\n

      Until full payment, the Customer must preserve the goods appropriately and must not sell, encumber or dispose of them in a manner inconsistent with Decorpita\u2019s retained title.<\/p>\n

      This provision does not affect mandatory Consumer rights or rules applicable to incorporated, transformed or installed goods.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”16. Customised and special-order goods” tab_id=”1786460259153-27d8299b-d17d”][vc_column_text]Customised or special-order goods include:<\/p>\n

      a) Made-to-measure furniture;<\/p>\n

      b) Kitchens configured for a specific space;<\/p>\n

      c) Cut, machined or drilled worktops;<\/p>\n

      d) Items manufactured to drawings;<\/p>\n

      e) Products in Customer-selected dimensions, colours or finishes;<\/p>\n

      f) Cut or transformed materials;<\/p>\n

      g) Equipment or references ordered specifically for the Customer;<\/p>\n

      h) Sets prepared in a particular configuration.<\/p>\n

       <\/p>\n

      Once production, processing or ordering from the supplier has commenced, such goods may not be reusable or saleable to another customer.<\/p>\n

      Cancellation or amendment will depend on technical and commercial feasibility and may require payment of:<\/p>\n

      a) Work already performed;<\/p>\n

      b) Materials purchased;<\/p>\n

      c) Orders already placed;<\/p>\n

      d) Supplier cancellation charges;<\/p>\n

      e) Transport, storage or processing costs;<\/p>\n

      f) Other proven losses.<\/p>\n

       <\/p>\n

      In distance or off-premises contracts, the statutory withdrawal right does not generally apply to goods made to the Consumer\u2019s specifications or clearly personalised.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”17. Amendments and cancellations” tab_id=”1786460317011-d2648ce4-7a23″][vc_column_text]Any request to amend or cancel an Order must be submitted in writing.<\/p>\n

      Where possible, Decorpita will inform the Customer:<\/p>\n

      a) Whether the amendment or cancellation remains feasible;<\/p>\n

      b) Of work already performed;<\/p>\n

      c) Of costs already incurred;<\/p>\n

      d) Of the effect on price;<\/p>\n

      e) Of the effect on lead time;<\/p>\n

      f) Of any conditions required for acceptance.<\/p>\n

       <\/p>\n

      Decorpita is not required to accept amendments after Order confirmation.<\/p>\n

      Where cancellation results from a breach attributable to Decorpita, the Customer will retain the rights provided by law and the contract.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”18. Production and delivery lead times” tab_id=”1786460361894-dded90d6-847e”][vc_column_text]Lead times stated in Quotations or order confirmations are calculated on the basis of the information available at the relevant date.<\/p>\n

      Unless a binding date is expressly agreed, stated lead times are estimates subject to:<\/p>\n

      a) Final Project approval;<\/p>\n

      b) Confirmation of measurements;<\/p>\n

      c) Payment of the agreed amounts;<\/p>\n

      d) Availability of materials;<\/p>\n

      e) Manufacturer and supplier lead times;<\/p>\n

      f) Production capacity;<\/p>\n

      g) Readiness of the delivery or installation site;<\/p>\n

      h) The absence of subsequent amendments.<\/p>\n

       <\/p>\n

      Where an estimated lead time of 12 weeks<\/strong> is stated, it will run from final Project approval, compliance with the payment terms and confirmation of all production information.<\/p>\n

      Unless otherwise stated in the Quotation, August and the final two weeks of December may not be fully included in production lead-time calculations due to usual manufacturer and supplier closures or reduced operations.<\/p>\n

      This qualification does not remove a Consumer\u2019s statutory rights where a contractually agreed delivery date is not met.<\/p>\n

      In the absence of an agreed date, consumer protection legislation provides for delivery without undue delay\u2014and, as a general rule, within 30 days of the contract’s conclusion\u2014without prejudice to the parties validly agreeing on a different timeframe.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”19. Delays and unavailability” tab_id=”1786460403683-41cbeb7d-fdf9″][vc_column_text]Decorpita will inform the Customer, as soon as reasonably possible, of any material delay of which it becomes aware.<\/p>\n

      Lead times may be affected by:<\/p>\n

      a) Stock shortages;<\/p>\n

      b) Product discontinuation;<\/p>\n

      c) Manufacturer or carrier delays;<\/p>\n

      d) Raw-material shortages;<\/p>\n

      e) Strikes;<\/p>\n

      f) Transport restrictions;<\/p>\n

      g) Accidents;<\/p>\n

      h) Severe weather;<\/p>\n

      i) Power interruption;<\/p>\n

      j) Information technology incidents;<\/p>\n

      k) Force majeure events;<\/p>\n

      l) Customer-requested changes;<\/p>\n

      m) Inability to access the site.<\/p>\n

       <\/p>\n

      Where a product becomes permanently unavailable, Decorpita may propose an alternative of equivalent characteristics and value.<\/p>\n

      Customer approval will be required where the alternative changes contractually agreed elements.<\/p>\n

      Decorpita does not exclude liability for delay or breach legally attributable to it.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”20. Delivery” tab_id=”1786460462735-d453f110-a1f4″][vc_column_text]Delivery will take place at the agreed location, date and under the agreed conditions.<\/p>\n

      The Customer must ensure:<\/p>\n

      a) The presence of an authorised recipient;<\/p>\n

      b) Suitable access;<\/p>\n

      c) An accurate delivery address;<\/p>\n

      d) Site availability;<\/p>\n

      e) Required authorisations;) As autoriza\u00e7\u00f5es necess\u00e1rias;<\/p>\n

      f) Adequate unloading and handling space;<\/p>\n

      g) Prior notification of traffic, parking, height, weight or dimensional restrictions.<\/p>\n

       <\/p>\n

      Unless expressly included, delivery does not cover cranes, lifting platforms, door or window removal, police assistance, traffic closure or manual handling along unsuitable routes.<\/p>\n

      Where delivery is agreed to the closest point accessible to the delivery vehicle, that condition must be stated in the Quotation or order confirmation.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”21. Transfer of risk” tab_id=”1786460541370-b4ff3f8d-9873″][vc_column_text]In Consumer contracts where Decorpita arranges carriage, risk of loss or damage passes when the Consumer, or a third party designated by the Consumer other than the carrier, acquires physical possession of the goods.<\/p>\n

      Where the Consumer appoints a carrier not proposed by Decorpita, risk may pass when the goods are handed to that carrier, in accordance with applicable law.<\/p>\n

      For Business Customers, transfer of risk will be governed by the Quotation, the agreed delivery terms and applicable law.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”22. Inspection on delivery” tab_id=”1786460561302-e34720ba-27f5″][vc_column_text]The Customer should check, to the extent reasonably possible:<\/p>\n

      a) The number of packages;<\/p>\n

      b) The apparent condition of the packaging;<\/p>\n

      c) Any visible damage;<\/p>\n

      d) General correspondence with the delivery documentation;<\/p>\n

      e) Evidence of improper handling.<\/p>\n

       <\/p>\n

      Visible issues should be recorded on the delivery note or carrier documentation and reported to Decorpita as soon as reasonably possible.<\/p>\n

      Photographic evidence should be provided where possible.<\/p>\n

      Failure to record an issue immediately may make it more difficult to establish the origin of transport damage but does not remove statutory Consumer rights concerning lack of conformity.<\/p>\n

      Business Customers must report quantity discrepancies or apparent damage within the period stated in the Quotation or, where none is stated, without undue delay.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”23. Storage and Customer delay” tab_id=”1786460596503-eb5e951d-ce8e”][vc_column_text]Where goods are ready for delivery or installation but the Customer is unable to receive them for a reason attributable to the Customer, Decorpita may:<\/p>\n

      a) Reschedule delivery;<\/p>\n

      b) Store the goods temporarily;<\/p>\n

      c) Charge reasonable storage costs;<\/p>\n

      d) Charge additional transport or attendance costs;<\/p>\n

      e) Reschedule installation;<\/p>\n

      f) Request payment of amounts that have become due.<\/p>\n

       <\/p>\n

      The applicable costs and conditions will be communicated in advance where possible.<\/p>\n

      The Customer must give reasonable notice where the site will not be ready.[\/vc_column_text][\/vc_tta_section][\/vc_tta_accordion][\/vc_column][vc_column width=”1\/2″][vc_tta_accordion style=”modern” active_color=”#FFFFFF” color=”#0A6689″ active_title_color=”#0A6689″ inactive_title_color=”#FFFFFF” spacing=”16px” c_icon=”chevron” collapsible_all=”true” active_section=”30″ css_animation=”none” el_class=”TxtAccordeon”][vc_tta_section title=”24. Installation and assembly” tab_id=”1788175822950-a08a759f-e785″][vc_column_text]Installation is only included where expressly stated in the Quotation.<\/p>\n

      Where included, installation covers only the goods and work described in that document.<\/p>\n

      Decorpita may carry out the work using its own personnel or suitably appointed service providers.<\/p>\n

      The installation date will be agreed after:<\/p>\n

      a) Confirmation that all materials are available;<\/p>\n

      b) Verification that the site can receive the goods;<\/p>\n

      c) Confirmation that the required technical conditions are met;<\/p>\n

      d) Compliance with the payment terms;<\/p>\n

      e) Completion of preparatory work for which the Customer is responsible.<\/p>\n

       <\/p>\n

      Incorrect installation carried out by Decorpita or under its responsibility may constitute lack of conformity under applicable law.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”25. Site conditions” tab_id=”1788175823036-be64a58a-d70f”][vc_column_text]Before delivery or installation, the Customer must ensure, as applicable:<\/p>\n

      a) The site is clear, clean and accessible;<\/p>\n

      b) Floors and wall coverings are completed and protected;<\/p>\n

      c) Walls, ceilings and openings are finished;<\/p>\n

      d) Water, drainage, gas and electrical services have been installed and tested;<\/p>\n

      e) Connection points correspond to the approved Project;<\/p>\n

      f) Suitable power and lighting are available;<\/p>\n

      g) Humidity levels are compatible with the materials;<\/p>\n

      h) Safe working conditions are provided;<\/p>\n

      i) Other works do not prevent installation;<\/p>\n

      j) All required permits and authorisations have been obtained.<\/p>\n

       <\/p>\n

      Decorpita may suspend installation where the site is unsafe or unprepared.<\/p>\n

      Suspension may result in rescheduling and reasonably justified additional costs.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”26. Excluded work and additional charges” tab_id=”1788175823117-cc5a61f2-ad50″][vc_column_text]Unless expressly included, the following are excluded:<\/p>\n

      a) Demolition;<\/p>\n

      b) Removal of existing furniture;<\/p>\n

      c) Masonry work;<\/p>\n

      d) Electrical, plumbing or gas work;<\/p>\n

      e) Painting;<\/p>\n

      f) Repair of walls, ceilings or floors;<\/p>\n

      g) Surface levelling;<\/p>\n

      h) Alteration of openings;<\/p>\n

      i) Permits and authorisations;<\/p>\n

      j) Cranes, lifting platforms and special hoisting equipment;<\/p>\n

      k) Work outside normal working hours;<\/p>\n

      l) Removal of waste produced by third parties;<\/p>\n

      m) Correction of pre-existing defects;<\/p>\n

      n) Work resulting from changes requested after approval.<\/p>\n

       <\/p>\n

      Where required, such work may be subject to an additional Quotation.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”27. Third-party interference” tab_id=”1788175823203-3922b9d3-a1aa”][vc_column_text]Decorpita will not be liable for damage or non-conformity caused exclusively by:<\/p>\n

      a) Subsequent third-party intervention;<\/p>\n

      b) Installation by unauthorised persons;<\/p>\n

      c) Unapproved Project amendments;<\/p>\n

      d) Use contrary to the relevant instructions;<\/p>\n

      e) Incorrect technical connections performed by third parties;<\/p>\n

      f) Failure to prepare the site;<\/p>\n

      g) Materials supplied by the Customer;<\/p>\n

      h) Incorrect information supplied by other professionals.<\/p>\n

       <\/p>\n

      This exclusion does not apply where the circumstances are attributable to Decorpita or Decorpita contractually assumed responsibility for coordinating or carrying out the relevant work.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”28. Completion and inspection” tab_id=”1788175823291-142ab657-ed30″][vc_column_text]Following installation, the Customer must be given a reasonable opportunity to inspect the completed work.
      \nOutstanding items or required corrections may be recorded in a completion document, snagging list or written communication.<\/p>\n

      Signing a delivery or completion document confirms completion of the delivery or work described therein but does not remove rights concerning latent non-conformities or issues that only become apparent subsequently.<\/p>\n

      Minor adjustments that do not prevent normal use do not, in themselves, justify rejection of the entire installation and should be completed within a reasonable period.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”29. Conformity of goods” tab_id=”1788175823382-92f4b871-2425″][vc_column_text]Decorpita must supply goods corresponding to:<\/p>\n

      a) The contractual description;<\/p>\n

      b) The agreed quantity;<\/p>\n

      c) The agreed quality and characteristics;<\/p>\n

      d) The sample or model presented, where applicable;<\/p>\n

      e) Any specifically agreed intended purpose;<\/p>\n

      f) Contractually required accessories and instructions;<\/p>\n

      g) The characteristics reasonably expected of goods of the same type.<\/p>\n

       <\/p>\n

      In Consumer contracts, statutory conformity rights may not be excluded or restricted.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”30. Statutory Consumer guarantee” tab_id=”1788175823469-9752b1fb-1287″][vc_column_text]For Consumer contracts, Decorpita is responsible for lack of conformity arising within the applicable statutory period.<\/p>\n

      The general liability period for new movable goods is currently three years from delivery<\/strong>.<\/p>\n

      A lack of conformity arising during the first two years is generally presumed to have existed at delivery, unless that presumption is incompatible with the nature of the goods or the lack of conformity.<\/p>\n

      Subject to the applicable statutory conditions, Consumers may be entitled to:<\/p>\n

      a) Repair;<\/p>\n

      b) Replacement;<\/p>\n

      c) A proportionate price reduction;<\/p>\n

      d) Termination of the contract.<\/p>\n

       <\/p>\n

      Where lack of conformity becomes apparent within 30 days of delivery, the Consumer may request immediate replacement or terminate the contract, subject to applicable law.<\/p>\n

      Repair or replacement must be provided free of charge, within a reasonable period and without significant inconvenience to the Consumer. The period should not normally exceed 30 days unless the nature or complexity of the goods justifies a longer period.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”31. Manufacturer commercial warranties” tab_id=”1788175823558-44c865f1-e2a0″][vc_column_text]Certain products may benefit from an additional commercial warranty provided by the manufacturer.<\/p>\n

      Where applicable, such warranty:<\/p>\n

      a) Is governed by its stated conditions;<\/p>\n

      b) May require registration, maintenance or specific use;<\/p>\n

      c) Does not replace or restrict statutory Consumer rights;<\/p>\n

      d) Does not automatically transfer to Decorpita obligations assumed directly by the manufacturer, without prejudice to Decorpita\u2019s statutory responsibilities as seller.<\/p>\n

       <\/p>\n

      The Customer should retain the invoice, warranty certificate and product documentation.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”32. Warranty exclusions and maintenance” tab_id=”1788175823645-0522e881-5b1b”][vc_column_text]Without prejudice to mandatory Consumer rights, warranty coverage may not apply where the issue arises exclusively from:<\/p>\n

      a) Misuse;<\/p>\n

      b) Lack of maintenance;<\/p>\n

      c) Use contrary to instructions;<\/p>\n

      d) Normal wear and tear;<\/p>\n

      e) Accidents or impact;<\/p>\n

      f) Excessive moisture;<\/p>\n

      g) Water ingress;<\/p>\n

      h) Unsuitable temperatures or environmental conditions;<\/p>\n

      i) Unsuitable cleaning products;<\/p>\n

      j) Unauthorised intervention;<\/p>\n

      k) Structural alterations;<\/p>\n

      l) Installation by third parties;<\/p>\n

      m) Pest activity;<\/p>\n

      n) Variations or failures in electrical, water, drainage or gas systems;<\/p>\n

      o) Inherent natural material variations.<\/p>\n

       <\/p>\n

      Any exclusion will only apply where a causal relationship exists between the identified circumstance and the reported issue.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”33. Complaints and after-sales service” tab_id=”1788175823726-629faa7b-6056″][vc_column_text]Complaints and requests for assistance must be submitted through Decorpita\u2019s available contact channels.<\/p>\n

      The communication should include, where possible:<\/p>\n

      a) The Customer\u2019s name and contact details;<\/p>\n

      b) Quotation, Order or invoice number;<\/p>\n

      c) Product identification;<\/p>\n

      d) A description of the issue;<\/p>\n

      e) The date on which the issue was identified;<\/p>\n

      f) Relevant photographs or videos;<\/p>\n

      g) The location of the goods;<\/p>\n

      h) Availability for technical inspection.<\/p>\n

       <\/p>\n

      The Customer must provide reasonable access to the goods or site for inspection and, where applicable, remedial work.<\/p>\n

      Submission of a complaint does not constitute automatic acknowledgement of liability and the matter must first be assessed.<\/p>\n

      The filing of a complaint does not imply an automatic admission of liability; the incident must be analyzed.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”34. Distance and off-premises contracts” tab_id=”1788175823825-3da5a209-5a73″][vc_column_text]Where a Consumer concludes a distance or off-premises contract, the Consumer may have a statutory right to withdraw without giving a reason.<\/p>\n

      The applicable period is normally 14 days and may be 30 days in certain legally specified off-premises circumstances.<\/p>\n

      Depending on the contract, the period runs from:<\/p>\n

      a) The contract date, for service contracts;<\/p>\n

      b) The date on which the Consumer acquires physical possession of the goods;<\/p>\n

      c) Delivery of the final item, lot or component, where applicable.<\/p>\n

       <\/p>\n

      Withdrawal must be exercised by an unequivocal statement or the applicable statutory withdrawal form.<\/p>\n

      Where the Consumer expressly requests commencement of a service during the withdrawal period, the Consumer may be required to pay a proportionate amount for services actually provided before withdrawal.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”35. Exceptions to the withdrawal right” tab_id=”1788175823916-531809d4-8089″][vc_column_text]Unless otherwise agreed, the withdrawal right does not apply, in particular, to:<\/p>\n

      a) Goods made to the Consumer\u2019s specifications;<\/p>\n

      b) Clearly personalised goods;<\/p>\n

      c) Goods which, after delivery, become inseparably mixed with other items;<\/p>\n

      d) Fully performed services where the statutory requirements for loss of the withdrawal right have been met;<\/p>\n

      e) Other circumstances provided by applicable law.<\/p>\n

       <\/p>\n

      Depending on the circumstances, this exception may include made-to-measure furniture, personalised kitchens, cut worktops, processed products and materials ordered to the Customer\u2019s specific requirements.<\/p>\n

      The absence of a withdrawal right does not remove the Consumer\u2019s rights in respect of lack of conformity, defects or breach of contract.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”36. Returns” tab_id=”1788175824026-1554b29a-678b”][vc_column_text]Outside the circumstances provided by law, returns require Decorpita\u2019s prior authorisation.<\/p>\n

      Returns will not normally be accepted for:<\/p>\n

      a) Customised products;<\/p>\n

      b) Cut or processed products;<\/p>\n

      c) Special-order products;<\/p>\n

      d) Installed or used products;<\/p>\n

      e) Incomplete or damaged packaging;<\/p>\n

      f) Discontinued products;<\/p>\n

      g) Products without proof of purchase;<\/p>\n

      h) Products that cannot be resold.<\/p>\n

       <\/p>\n

      Where a discretionary return is accepted, Decorpita may deduct reasonable transport, handling, inspection, repackaging or depreciation costs, provided that these are communicated in advance.<\/p>\n

      This clause does not restrict returns arising from statutory Consumer rights.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”37. Force majeure” tab_id=”1788175824154-642fa925-41a9″][vc_column_text]Neither party will be liable for delay or non-performance resulting from circumstances beyond that party\u2019s reasonable control, including:<\/p>\n

      a) Natural disasters;<\/p>\n

      b) Fire or flooding;<\/p>\n

      c) War, terrorism or civil disturbance;<\/p>\n

      d) Epidemics or pandemics;<\/p>\n

      e) General strikes;<\/p>\n

      f) Transport blockages;<\/p>\n

      g) Government restrictions;<\/p>\n

      h) Widespread energy or communications failure;<\/p>\n

      i) Major supply-chain incidents;<\/p>\n

      j) Exceptional raw-material shortages.<\/p>\n

       <\/p>\n

      The affected party must inform the other party as soon as reasonably possible.<\/p>\n

      Where the event continues and materially frustrates the purpose of the contract, either party may exercise any rights available under applicable law.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”38. Liability” tab_id=”1788175824248-8484c668-33bd”][vc_column_text]Decorpita is responsible for performing the obligations it has assumed and for any liability legally attributable to it.<\/p>\n

      Decorpita will not be liable for damage arising exclusively from:<\/p>\n

      a) The Customer\u2019s failure to comply with their obligations;<\/p>\n

      b) Incorrect information provided by the Customer;<\/p>\n

      c) Unauthorised intervention;<\/p>\n

      d) Misuse of products;<\/p>\n

      e) Third-party work outside Decorpita\u2019s responsibility;<\/p>\n

      f) Pre-existing site defects;<\/p>\n

      g) Force majeure events.<\/p>\n

       <\/p>\n

      Nothing in these Terms excludes or limits:<\/p>\n

      a) Liability for wilful misconduct or gross negligence where it cannot legally be limited;<\/p>\n

      b) Liability for death, personal injury or damage to health;<\/p>\n

      c) Mandatory Consumer rights;<\/p>\n

      d) Any liability that cannot lawfully be excluded.<\/p>\n

       <\/p>\n

      General clauses that exclude certain mandatory liabilities or unduly alter the risk and burden of proof are prohibited.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”39. Intellectual property” tab_id=”1788175824350-72495bdd-1a7c”][vc_column_text]Designs, drawings, studies, plans, graphic proposals, technical solutions and documentation prepared by Decorpita are protected by applicable intellectual property law.<\/p>\n

      Unless otherwise agreed in writing, provision of a Project does not transfer intellectual property rights or permit:<\/p>\n

      a) Reproduction for other projects;<\/p>\n

      b) Implementation by third parties;<\/p>\n

      c) Unauthorised alteration;<\/p>\n

      d) Public disclosure;<\/p>\n

      e) Commercial use;<\/p>\n

      f) Removal of authorship information.<\/p>\n

       <\/p>\n

      Where the Project has been paid for in full and is intended for the contracted implementation, the Customer may use it to the extent required for that implementation, without prejudice to moral rights and third-party rights.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”40. Subcontractors and service providers” tab_id=”1788175824457-0c6bbd9d-56ff”][vc_column_text]Decorpita may appoint manufacturers, carriers, installers, technicians and other service providers to perform parts of the supply.<\/p>\n

      The appointment of service providers does not remove responsibilities assumed by Decorpita towards the Customer.<\/p>\n

      Where the identity of a specific provider is essential or has been specifically agreed, replacement will be handled in accordance with the contract and applicable law.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”41. Personal data” tab_id=”1788175824564-de40f444-f387″][vc_column_text]Personal data processed in connection with Quotations, Orders, deliveries, installations, payments, complaints and warranties will be used to:<\/p>\n

      a) Manage the commercial relationship;<\/p>\n

      b) Perform the contract;<\/p>\n

      c) Comply with legal obligations;<\/p>\n

      d) Provide assistance;<\/p>\n

      e) Establish, exercise or defend legal rights.<\/p>\n

       <\/p>\n

      Consumers may also use:<\/p>\n

      a) The physical Portuguese Complaints Book;<\/p>\n

      b) The Portuguese Electronic Complaints Book;<\/p>\n

      c) Legally competent alternative consumer dispute resolution entities;<\/p>\n

      d) The courts.<\/p>\n

      For Consumer contracts, the following are preserved:<\/p>\n

      a) Mandatory Consumer protection rules;<\/p>\n

      b) Statutory territorial jurisdiction rules;<\/p>\n

      c) Legally available alternative dispute resolution procedures;<\/p>\n

      d) Any rights that cannot be excluded by contract.<\/p>\n

       <\/p>\n

      For Business Customers, any jurisdiction clause must be stated in the applicable Quotation or contract and will apply only to the extent legally permitted.[\/vc_column_text][\/vc_tta_section][vc_tta_section title=”44. Amendments” tab_id=”1788175824861-fef09140-d174″][vc_column_text]Decorpita may update these General Terms and Conditions of Sale as a result of legal, commercial, technical or operational changes.<\/p>\n
